Independent Contractor Agreement

Zillar Property Group LLC & Service Provider

This agreement governs the relationship between Zillar Property Group LLC and independent service contractors who accept jobs through the Zillar platform. By accepting your first job through Zillar, you agree to all terms below. A signed copy is required before your first payment is processed.

1. Parties

This Independent Contractor Agreement (“Agreement”) is between Zillar Property Group LLC, a California limited liability company (“Zillar” or “Company”), and the individual or business entity listed in your onboarding profile (“Contractor” or “you”). This Agreement governs all work performed through the Zillar platform.

2. Independent Contractor Relationship

You are an independent contractor, not an employee of Zillar. This Agreement does not create an employment relationship, partnership, joint venture, or agency. Specifically:

  • Zillar does not control how, when, or where you perform services, only the outcome and quality standard
  • You set your own availability and may decline any job offered
  • You may work for other companies or clients outside of Zillar
  • Zillar does not provide you with benefits, workers’ compensation, unemployment insurance, or withhold taxes on your behalf
  • You are responsible for your own taxes, insurance, equipment, and business expenses

Both parties intend this to be a bona fide independent contractor relationship. If you believe any aspect of this arrangement is inconsistent with independent contractor status, you must raise it with Zillar in writing within 30 days.

3. Services You Provide

Based on your skills and onboarding profile, you may be assigned jobs in one or more of the following service categories:

  • Roof soft washing and cleaning
  • Exterior house washing
  • Gutter cleaning and flushing
  • Window cleaning (interior and/or exterior)
  • Driveway and concrete cleaning
  • Combined service bundles as assigned

You will receive job details, property information, and customer contact through the Zillar platform or via text/call from your Zillar coordinator.

4. Compensation — The 70/30 Split

For every job you complete through the Zillar platform, you will receive 70% of the confirmed job price paid by the customer. Zillar retains 30% as a platform and coordination fee that covers customer acquisition, scheduling, billing, customer service, and quality support.

Example calculation:
Customer pays Zillar: $700 for roof cleaning
Your earnings (70%): $490
Zillar platform fee (30%): $210

Payment schedule: Payments are processed weekly every Friday for all jobs completed and confirmed during the prior week (Monday–Sunday). Payment is made via direct deposit (ACH), Zelle, or Venmo as designated in your onboarding profile.

Payment holds: Payment for a job may be held pending resolution if a customer files a complaint about that specific job. Zillar will notify you within 24 hours if a job payment is held and work toward resolution within 5 business days.

Chargebacks: If a customer disputes a charge that results in a chargeback, your payment for that job may be reversed and deducted from a future payment while the dispute is resolved.

5. Taxes and 1099

As an independent contractor, you are responsible for all federal, state, and local taxes on your earnings, including self-employment tax. Zillar will not withhold income taxes, Social Security, or Medicare from your payments.

If you earn $600 or more in a calendar year through Zillar, we will issue you a Form 1099-NEC by January 31 of the following year. You must provide Zillar with a completed Form W-9 before your first payment. Failure to provide a valid W-9 may result in backup withholding at the rate required by IRS regulations.

6. Your Responsibilities

  • Quality: Complete all jobs to Zillar’s quality standards as communicated in training materials and per the specific job scope provided.
  • Reliability: Show up on time for all accepted jobs. If you cannot make a job, notify your Zillar coordinator as soon as possible — minimum 3 hours before the appointment. Repeated no-shows or last-minute cancellations may result in suspension from the platform.
  • Equipment: Provide and maintain all tools, equipment, and supplies necessary to complete assigned jobs (soft wash system, pressure washer, ladders, cleaning solutions, safety equipment).
  • Insurance: Maintain general liability insurance with minimum coverage of $500,000 per occurrence. You must name Zillar Property Group LLC as an additional insured and provide a certificate of insurance upon request.
  • Licenses: Maintain any required state or local business licenses, contractor licenses, or permits in your operating area.
  • Professional conduct: Treat all customers with respect. Do not solicit Zillar customers for outside work (see Section 7). Do not discuss Zillar’s internal pricing, splits, or business practices with customers.
  • Job completion reporting: Mark each job complete in the Zillar system (or notify your coordinator) immediately upon completion. Take before/after photos of each job and submit them.
  • Customer issues: Do not attempt to resolve complaints or offer refunds on Zillar’s behalf. Escalate any customer concerns to your Zillar coordinator immediately.

7. Non-Solicitation

During the term of this Agreement and for 12 months after its termination, you agree not to directly solicit or accept work from any customer you were introduced to through the Zillar platform. You may not contact Zillar customers to offer competing services, refer them to other providers, or circumvent Zillar for the purpose of obtaining their business outside the platform.

Violation of this provision entitles Zillar to liquidated damages of $1,000 per customer solicited or served in violation of this clause, which the parties agree is a reasonable estimate of damages and not a penalty.

8. Confidentiality

You agree to keep confidential all non-public information about Zillar’s business, including pricing models, customer lists, contractor terms, and operational systems. This obligation survives termination of this Agreement.

9. Damage and Claims

You are responsible for damage caused by your negligence or improper technique during service. If a customer claims property damage, you must cooperate fully with Zillar’s investigation, provide your insurance information, and allow your insurer to handle the claim. Zillar may deduct documented costs from future payments for damage claims not covered by your insurance.

10. Termination

Either party may terminate this Agreement with 7 days’ written notice. Zillar may immediately suspend or terminate a Contractor for: repeated customer complaints, no-shows, safety violations, failure to maintain required insurance, solicitation of Zillar customers, or conduct that reflects poorly on Zillar’s brand. Any outstanding payments owed at termination will be paid on the next regular payment date for completed and confirmed jobs.

11. Governing Law

This Agreement is governed by the laws of the State of California. Disputes shall be resolved in Sacramento County, California. Both parties agree to attempt informal resolution before initiating legal proceedings.

12. Entire Agreement

This Agreement, along with the Zillar Contractor Onboarding Packet, constitutes the entire agreement between the parties and supersedes all prior discussions. Changes must be in writing and signed by both parties.
